The Role

We are seeking an experienced In-House Counsel to join our legal team in London. You will provide commercial and regulatory legal support across Vannin's full business lines — advising on complex international healthcare infrastructure projects, software licensing, medical-device agreements, and corporate matters.

Key Responsibilities

• Draft, review, and negotiate commercial contracts including SaaS licences, master services agreements, government tenders, distribution, and partnership agreements.
• Provide legal support on turnkey hospital projects, including EPC contracts, financing agreements, and ECA-backed funding structures.
• Advise on medical device, software-as-a-medical-device, and CE / UKCA regulatory matters.
• Manage data protection (UK GDPR, EU GDPR, HIPAA) and information security compliance, in coordination with the Compliance function.
• Handle corporate, employment, and intellectual property matters across UK and international entities.
• Manage external counsel across multiple jurisdictions, ensuring cost-effective delivery of legal services.
• Support M&A, fundraising, and strategic transactions.
• Provide day-to-day legal advice to commercial, product, and operations teams.

Essential Requirements

• Qualified solicitor (England & Wales) or equivalent, with 5–8 years' PQE including meaningful in-house experience.
• Strong commercial contracting background, including SaaS, technology, or healthcare agreements.
• Experience advising on international contracts and cross-border transactions.
• Excellent drafting, negotiation, and stakeholder management skills.
• Commercially pragmatic and comfortable working in a fast-paced, scaling environment.

Desirable

• Prior experience in healthcare, medical devices, or health-tech.
• Familiarity with Export Credit Agency-financed projects (UK Export Finance, US Exim, etc.).
• Working knowledge of Spanish, French, or Arabic.
• Data protection qualifications (CIPP/E, BCS).
